1. General

These Terms of Service (“Terms”) govern your access to and use of the DAIKI platform and related services (“Service”) provided by DAIKI GmbH, Teinfaltstraße 4/12, 1010 Vienna, Austria, registered under FN 604965 f. at Handelsgericht Wien (“DAIKI”, “we”, “us”).
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
DAIKI is a software-as-a-service (SaaS) platform for AI governance, monitoring, and risk management. The Service includes, but is not limited to, the AI Registry, centralized documentation, LLM Bias & Safety Checker, AI Risk Management tools, and the DAIKI AI Management System (AIMS).
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@dai.ki of any unauthorized use.
4. Subscription and Payment
4.1. Access to the full Service requires a paid subscription. Subscription plans, pricing, and billing cycles are as agreed upon in your order or as displayed at the time of purchase.
4.2. All fees are quoted in Euros and are exclusive of applicable taxes unless stated otherwise.
4.3. Invoices are due within the period specified in your subscription agreement. Late payments may result in suspension of access to the Service.
5. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Reverse-engineer, decompile, or disassemble any part of the Service;
- Use the Service to develop a competing product or service;
- Share account credentials with unauthorized third parties;
- Transmit any malicious code, or attempt to gain unauthorized access to our systems;
- Use the Service in a manner that violates any applicable law or regulation.
6. Intellectual Property
All rights, title, and interest in the Service, including patents, trademarks, and copyrights, remain with DAIKI GmbH. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service for the duration of your subscription term.
7. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR. The Service is hosted in the European Union.
8. Availability and Support
8.1. We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where possible.
8.2. Support is provided as specified in your subscription plan.
9. Liability
9.1. DAIKI shall be liable without limitation for damages caused by intent or gross negligence.
9.2. For slight negligence, DAIKI shall only be liable in cases of breach of a material contractual obligation, limited to the foreseeable, typically occurring damage. In such cases, liability is limited to the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
9.3. DAIKI shall not be liable for indirect, incidental, or consequential damages, including loss of data, revenue, or profits, except where mandatory law provides otherwise.
9.4. The Service provides tools to support AI governance and compliance efforts but does not constitute legal advice. You remain solely responsible for ensuring your own regulatory compliance.
10. Term and Termination
10.1. Subscriptions begin on the start date specified in your order and run for the agreed subscription term. Unless cancelled before the end of the current term, subscriptions renew automatically for successive terms of the same duration.
10.2. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice.
10.3. Upon termination, your access to the Service will cease. You may request an export of your data within thirty (30) days following termination.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Austria. The exclusive place of jurisdiction is Vienna, Austria, to the extent permitted by applicable law.
